These Terms and Conditions govern the sale of products by MW Equipment LTD ("we", "us", "the Company"), a company registered in England and Wales, with principal offices at Oak Park, Rylands Lane, Elmley Lovett, Droitwich, WR9 0QZ.
By placing an order with MW Equipment LTD, you agree to be bound by these Terms. These Terms apply to all orders placed directly with MW Equipment LTD. If you are purchasing via a third-party platform, the terms of that platform may also apply.
These Terms apply to business customers purchasing products for commercial purposes. If you are a consumer (purchasing otherwise than in the course of a business), different statutory protections may apply.
An order placed with MW Equipment LTD constitutes an offer to purchase. A binding contract is formed when we confirm acceptance of your order in writing (email or letter). We reserve the right to refuse any order.
All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change without notice until an order is confirmed.
All prices are quoted exclusive of VAT unless otherwise stated. VAT will be added at the prevailing UK rate at the time of invoicing. Prices are in GBP sterling.
Payment terms are as stated in your quotation or invoice. Standard terms are payment in full before despatch unless a credit account has been agreed in writing. We reserve the right to charge interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998.
Delivery dates are estimates only and time is not of the essence unless expressly agreed in writing. We will use reasonable endeavours to meet estimated delivery dates but are not liable for delays caused by circumstances outside our reasonable control.
Risk in the goods passes to you on delivery. Title in the goods passes to you on receipt of cleared payment in full.
You must inspect goods on delivery and notify us in writing of any visible damage or shortage within 3 working days of delivery. Failure to do so will constitute acceptance of the goods as delivered.
As a business customer, you do not have a statutory right to cancel orders. Returns are accepted at our discretion and must be agreed in writing before return. Goods returned must be in original condition. A restocking charge may apply.
Bespoke products designed and manufactured to your specification cannot be returned or refunded except where they are defective.
We warrant that products supplied will be free from material defects in materials and workmanship for 12 months from the date of delivery (the "Warranty Period"), subject to the limitations below.
The warranty does not cover: defects resulting from misuse, accident, negligence or operation outside the product specification; fair wear and tear; damage resulting from use of non-genuine MW Equipment spare parts; or products modified without our written consent.
Our liability under this warranty is limited to repair, replacement or refund at our discretion. We will not be liable for consequential losses, loss of profit, or indirect losses arising from defective products.
Our total liability to you in respect of any claim arising under or in connection with these Terms (whether in contract, tort, negligence or otherwise) shall not exceed the price paid for the goods giving rise to the claim.
We exclude liability for indirect, consequential or special losses, loss of profit, loss of revenue, and business interruption, to the maximum extent permitted by law.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
The MW Easy-Lift System is the subject of UK patent application GB 2600815.1 (pending). All intellectual property rights in our products, designs and documentation remain with MW Equipment LTD. You may not copy, reproduce or reverse-engineer our products or their designs without our prior written consent.
These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. The version in force at the time of your order will apply to that order.
